The Corporate Transparency Act

This program will provide a general overview of the Corporate Transparency Act’s provisions and related federal regulations, as well as a discussion of recent litigation challenging the constitutionality of the Corporate Transparency Act. 

Learning Objectives:

  • Participants will be able to evaluate whether a company is subject to the Corporate Transparency Act’s Reporting Rule and identify the twenty-three specific types of entities exempt from the reporting requirements.  
  • Participants will be able to identify a company’s beneficial owners and name the five exceptions to the definition of beneficial owner.  
  • Participants will assess two recent cases involving constitutional challenges to the Corporate Transparency Act.

Walk-ins will be admitted as space allows. In-person registrations expire at the start of the presentation. We do ask that you arrive promptly; otherwise your reserved seat may be given to a walk-in attendee. All registrations are assumed to be remote unless otherwise stated. Omar has more than a quarter century of litigation experience and has handled both criminal and civil cases in state and federal courts.  He graduated from Yale University, Stanford Law School, and the Trial Lawyers College.  Omar serves on the Board of Directors of the Sonoma County Bar Association as well as the Board of Directors of the Sebastopol Center for the Arts, which presents art experiences across Sonoma County including Art Trails and Art at the Source.  Omar has published a series of books documenting the evolution of cannabis laws and regulations in California and New York, and these books can be found at Yale Law School, Cal Poly Humboldt, and Stanford Law School.  Omar is the Managing Partner of the Law Offices of Omar Figueroa, a Sebastopol-based boutique law firm focused on emerging industries (such as cannabis, hemp, and psychedelics) with clients all over the Golden State.  Omar has earned the Super Lawyers distinction in the field of Cannabis Law for multiple years in a row and is listed in both the Global Top 200 Cannabis Lawyers and the Global Top 200 Psychedelic Lawyers.  Omar is a purple belt in Brazilian jiu-jitsu, which enhances his ability to solve problems under pressure.  

A pioneering cannabis lawyer with more than two decades of experience providing legal counsel and representation to members of California’s cannabis industry, Mr. Figueroa is an expert in California cannabis law and is frequently quoted in the media. He has taught numerous Continuing Legal Education seminars to lawyers on cannabis-related topics. Before establishing a successful practice in Sonoma County in early 2010, he shared office space for over ten years with esteemed colleagues at Pier 5 Law Offices in San Francisco, a community of independent sole practitioners specializing in aggressive criminal defense. He considers himself lucky to have been trained by living legend J. Tony Serra, a master of the noblest art: defending the accused before a jury.
 
In 2006, Mr. Figueroa graduated from Gerry Spence’s Trial Lawyers College, which is considered the most prestigious and selective trial advocacy college in America. He is also a graduate of Yale University and Stanford Law School. He is a published author, having written three books on the subject of Cannabis Law: Cannabis Codes of California: Legalization Edition (2017), California Cannabis Laws: MAUCRSA Edition (2018), and California Cannabis Laws and Regulations: 2019 Edition.
 
Mr. Figueroa is a member of the California State Bar, California Attorneys for Criminal Justice, Sonoma County Bar Association, California NORML, Cannabis Action Network, Americans for Safe Access, Stanford Alumni Association, Association of Yale Alumni, a Founding Lifetime Member of the National Cannabis Bar Association, and a lifetime member of the NORML Legal Committee. He is also a member of the Board of the ACLU of Sonoma County. Mr. Figueroa was also recently selected to serve as a member of Sonoma County’s Cannabis Advisory Group.
